Who owns the Dream Exchange?

DX Capital Partners, LLC is the majority owner of the Dream Exchange. The Managing Member of DX Capital Partners is Dwain J. Kyles.

When will the Dream Exchange open?

Can the Dream Exchange open without the Main Street Growth Act?

Yes, the Dream Exchange intends to open a fully licensed National Market System Stock Exchange similar to the NASDAQ and NYSE which requires no legislation to open.

Concurrently, Dream Exchange continues to champion the Main Street Growth Act which will allow for the creation of venture exchanges which will list and trade early-stage, small-to-mid sized businesses.

How did Dream Exchange start?

Founder and CEO Joe Cecala was a securities lawyer for over 30 years and learned in-depth how stock exchanges work being part of the founding of a company that created among the first electronic trading systems (ECN) in the US. This electronic stock exchange went on to become Archipelago and was ultimately merged with the New York Stock Exchange to become what is now known as NYSE-Arca, one of the leading stock exchanges in the world.

Mr. Cecala worked on capital transactions where he and long-time friend, Dwain Kyles, were attempting to assist small, minority-led businesses get access to capital. In that time, they found that small capital transactions were particularly difficult because there was no clear exit in sight for the investor. After years of research they discovered that the structure of US capital markets and current stock exchanges favored only the largest transactions. Mr. Cecala’s research showed that prior to Archipelago, the overwhelming majority of IPOs were $50.0 million and under, as opposed to today where the majority of IPOs are easily in the hundreds of millions and even billions. By 2004, small capital IPOs had all but disappeared.

As a result, in 2018, Mr. Cecala founded the Dream Exchange to solve these long-standing market problems by creating a stock exchange to expand access to capital markets for small companies with great imaginations and ideas.

Shortly after Dream Exchange’s founding, the Company formed an agreement with Dwain Kyles as the leader of a minority-controlled capital provider. This allows the Company to not only create a venture exchange for small businesses, but also a national market system exchange under minority control for the first time in our nations history.

Who can be a “member” of the Dream Exchange?

U.S. registered broker-dealers are eligible to become Members of Dream Exchange LLC, subject to the requirements of the Dream Exchange Rule Book. Broker-dealers must be a member of another Self-Regulatory Organization (SRO) and maintain an active clearing relationship with an NSCC member clearing firm who is also a Member of the Exchange. 

Does it cost anything to apply for membership?

No, the Dream Exchange does not charge a fee for application.

When will I be able to list my company on Dreamx’s National Market System Exchange?

We are beginning the process of surveying the market to form listing standards and rules for our national market system exchange. Once our national market system exchange is operational, we will use feedback from the marketplace to incorporate into new listing rules and standards.

What is the difference between a venture exchange and a national market system stock exchange?

A venture exchange is a brand-new type of stock exchange that is currently pending legislation in the U.S. Congress. Once created, venture exchanges will expand the auction style stock exchange environment to small-to-mid sized companies, providing access to investment, liquidity, transparency, and improved regulation in this new marketplace. 

When will the venture exchange be open?

In order to create the first venture exchange, a new piece of legislation called the Main Street Growth Act must be passed. Once enacted, the Main Street Growth Act will allow for venture exchanges to exist. 

How do I invest in companies on the Dreamx Venture Exchange?

Dream Exchange is not currently operational as a venture exchange. More information about the process to begin investing in listed companies on our venture exchange will be published after the Main Street Growth Act is passed, and we are licensed.

What is the difference between Dream Exchange and DreamEx Connect?

DreamEx Connect is a social media style platform to connect business owners with strategic relationships. It is not a licensed brokerage or stock exchange, so we do not offer shares for sale or facilitate the sale of shares on the platform. However, we do offer the opportunity for emerging businesses to post detailed information about their company to network with potential strategic partners. All participants are able to message one another and set up meetings or discuss their business in more depth.

Is DreamEx Connect operational?

Yes, DreamEx Connect is currently launched and fully operational. The software is entirely free to use.

How do I register and log-in to DreamEx Connect?

DreamEx Connect’s registration process follows the following steps to ensure your security on our software:

1.On our website, click “Access as Business Owner” to register your business or “Access as an Strategic Partner” to register yourself as a strategic partner.

2. Click the blue “Sign-Up” Button at the bottom right hand corner of the white box.

3. Fill out the registration form including all fields.

a) Why does DreamEx Connect ask for my address and phone number?

DreamEx Connect uses user address’ and phone numbers to verify’s its users to ensure the security of all participants.

Note: The email you enter here will be used as your username and will be case sensitive.

4. Submit the registration form.

5. At this time, you should receive an automated email with your temporary log-in credentials. Please check your junk or spam folder and allow 1-2 minutes for this to arrive in your inbox.

6. Enter your temporary username and password exactly as shown in the email you received. This is case sensitive.

7. Upon completion of this step, you will be asked to create a password. Below are the password requirements:

a) Minimum of one capital letter

b) Minimum of one number

c) Minimum of one symbol

Once this is complete, you are officially logged into DreamEx Connect. If you forget your password, you can always change it using the “Forgot Password” button on the sign-in page. Your account can be accessed from our website under the DreamEx Connect tab.

Is my data secure?

DreamEx Connect stores all collected data in an encrypted format in a secure environment utilizing Amazon Web Services.

Does DreamEx share the information we collect?

DreamEx does not provide any collected information with parties external to our organization.

Does DreamEx charge a fee if a Company and a Strategic Partner or Source of Funds make a deal?

DreamEx Connect does not charge a fee if a Company and a Strategic Partner or Source of Funds makes a partnership, or investment deal. DreamEx Connect is software as a service and is not operating in any way as a broker between two parties.

How do I know if my Company Profile is complete?

A Company Profile is considered complete if a Company has completed their profile in the Compose Page page, uploaded supplemental files in the Upload Files page and specified the parameters of their deal in the Specify Criteria page.

Why are offering documents prohibited from my profile?

DreamEx Connect is not a brokerage site and is not facilitating the sale of securities. Rather, it is a software as a service, similar to Facebook and LinkedIn, to connect great companies with strategic partners. Once the connection is made, users will conduct any partnership activities outside of DreamEx Connect if they so choose.

Can I make changes to my Company profile once it is published?

Yes. All Company profiles are reviewed by DreamEx staff prior to posting on the DreamEx Connect to ensure that the profile meets the posting standards of the site.

Are Companies limited in the number of uploaded files?

There are no limits in the number of files a company can include with their profile.

Can a participant limit unsolicited messages from Companies?

Yes. A user can elect to not receive unsolicited messages from Companies. In this situation, a participant would deselect the “Allow Companies to Contact Me” checkbox in the Interests page.
